CHARTER (AMENDED, SUPPLEMENTED)
VIETNAM LEATHER, FOOTWEAR AND HANDBAG ASSOCIATION
(Approval with the attached Decision No. 822 / QD-BNV
dated July 15, 2013 of the Minister of Home Affairs)
 
Chapter I
GENERAL PROVISIONS
Article 1. Name and logo
1. Vietnamese name: Hiệp hội Da - Giầy - Túi xách Việt Nam.
2. English name: Vietnam Leather, Footwear and Handbag Association.
3. Abbreviation in English: LEFASO.
4. The association has its own logo, which is registered under the provisions of copyright law.
Article 2. Principles and purposes

Vietnam Leather, Footwear and Handbag Association is a social - professional organization of Vietnamese organizations and citizens, doing business in leather - footwear- handbag industry under Vietnam law, voluntarily establishing, for the purpose of gathering, uniting its members, protecting legitimate rights and interests of its members, supporting each other for effective operation, contributing to the socio-economic development of the country.

Article 3. Legal status, headquarters

1. The Association has legal status, seal and separate account; operating in accordance with the laws of Vietnam and Association Charter approved by competent authorities.

2. Association's headquarters is located in Hanoi.

Article 4. Operation scope and field

1. The Association operates on a national scale in the field of leather - footwear- handbags under the provisions of the law of Vietnam.

2. The Association is under the management of the Ministry of Industry and Trade and other relevant ministries and branches in the operation field of the Association in accordance with the law.

Article 5. The organization and operation principles

1. Voluntary, self-governing.

2. Democracy, equality, openness and transparency.

3. Self-funding.

4. Non-profit purposes.

5. To comply with the Constitution, law and Association Charter.

Chapter II

POWERS AND DUTIES

Article 6. Authority:

1. Propagate the operation principles and purposes of the Association.

2. Represent its members in domestic and foreign relationship related to functions and duties of the Association under the provisions of law.                        

3. To protect the legitimate rights and interests of its members in accordance with the principles and purposes of the Association and the law.         

4. Join programs, projects, research projects on consultancy, opponency and social evaluation at the request of state agencies; providing public services on the issues in the operation field of the Association, organizing vocational training courses in accordance with the law.

5. Contributing ideas in the legal documents relating to the operation content of the Association in accordance with the law. Make recommendations to the competent state agency over matters related to the development of the Association and the its operation field. Hold training and retraining courses, and services in accordance with the law and grant practicing certificates under the provisions of law.

6. Coordinate with relevant agencies and organizations to perform the tasks of the Association.

7.  Organize legal entity of the Association in accordance with the law.

8. Have the rights to raise funds on the basis of membership dues and revenues from business activities and services in accordance with the law for self-financing.

9. Receive legal grants from domestic and foreign organizations and individuals in accordance with the law.

10. Have the rights to join the relevant international organizations and sign international agreements in accordance with law and report the state management agency on the business line and field of the Association; report the agency allowing the establishment of the Association on its joining international organizations; sign, implement international agreements.

Article 7. Tasks:

Abide by the provisions of law relating to the organization and operation of the Association. Organize and operate under approved Association Charter and in accordance with the law. Not to abuse the Association's activities to prejudice to national security, social order, habits and customs, national traditions, legitimate rights and interests of individuals and organizations.

2. Unite its members; organize and coordinate activities among the members for the benefit of the Association; comply with principles and purposes of the Association to contribute to the development the Association's operation field for the country's development.

3. Propagate, train its members and guide them to comply with the laws, regulations and policies of the State and the Charter, rules and regulations of the Association.

4. Represent its members to participate and propose to the competent authorities of all policies related to the operation field of the Association in accordance with the law.

5. Dispute resolution and settlement of internal complaints and denunciations in the Association in accordance with the law.

6. Develop and promulgate ethical rules of the Association's operation.

7. Manage and use Association's funds in accordance with the law.

8. Perform other duties as requested by competent authority .

Chapter III:

MEMBERSHIP

Article 8. Members, membership criteria

1. The Association includes official members, associate members and honorary members:

a) Official members: Vietnam's citizens and organization operate in the field of leather - footwear- handbags under Vietnam law, eligible under the provisions of Clause 2 of this Article, support the Association's Charter, voluntarily to join the Association, may become official members of the Association;

b) Associate members: Businesses and organizations of Vietnam who are not eligible to become official members of the Association, support voluntarily the Association's Charter, are considered and approved by the Association to become its associate members;

c) Honorary members: Vietnam citizens and organizations who are not eligible to become official members or associate members of the Association but they are reputable, experienced and have contributed to the Association's development, supporting the Association Charter, invited by the Association's Executive Committee to become its honorary members.

2. Criteria for official members:

a) Operate in or relate to the field of leather - footwear - handbags under the law of Vietnam;

b) Approve the Association Charter;

c) Voluntarily write application to join the Association;

d) Pay fees in accordance with the Association's regulations;

d) Recognized by the Association Standing Committee as members of the Association in accordance with the law and the Association Charter;

e) The units, legal entities or individuals officially become members of the Association only after completing fee procedures for joining the Association and getting membership cards;

g) A members who is a legal entity (an organization has legal status under the laws) sends its representative to the Association, the representative must have full authority to decide the issues relating to member's responsibility in the Association's operation; in case of mandate, the mandated person must have the authority to decide and take responsibility for that mandate; when there is a change in mandated person, the member must inform in writing to the Standing Committee of the Association, not later than 15 (fifteen) days from the date of the change.

Article 9. Rights of members          

1. Members' legitimate rights and interests shall be protected by the Association in accordance with

the law.

2. Be provided information related to the operation field of the Association; have the rights to participate in activities organized by the Association.

3. Participate in discussions and decision of the Association's policies in accordance with the Association's regulation; propose to the competent authorities on issues related to the operation field of the Association in accordance with the law.

4. Eligible for participation in General Meetings, candidacy, nomination, election of agencies, leadership positions and Association Examination Board in accordance with the Association's regulations.

5. Eligible for nomination of new members.

6. Eligible for reward by Association according to its regulations.

7. Receive membership cards.

8. Have the rights to leave the Association when unable to continue as a member.

9. Associate members, honorary members are entitled to the same rights as official members, except rights of candidacy, nomination, election of the Association Examination Committee and Executive Board.

Article 10. Obligations of members

1. Strictly comply with the policy, guideline of the Party and the laws of the State; abide by the Charter and regulations of the Association.

2. Join operations and activities of the Association; unite and cooperate with other members to develop the Association.

3. Protect the Association's reputation, not allowed to represent the Association in the trading relationship, unless assigned in writing by the leaders of the Association.

4. Implement the communication and report regime, according to the Association's regulations.

5. Pay fees in accordance with the Association's regulations.

Article 11. The procedures and authority for member admission; procedures for leaving the Association

1. The procedures and authority for member admission:

a) Vietnam citizens and organizations who operate in the field of leather - footwear - handbags, are eligible in accordance with the Association Charter, wish to join the Association make application to the Association in the form prescribed by the Association rules; enclosing a copy of the establishment license, the establishment decision or business registration certificate and 01 photo of its representative (for organizations) or curriculum vitae and 01 photo (for individuals) to the Association's Office;

b) The Association's Office aggregates and reports to the Association Standing Committee; based on the operating regulations, the Association Standing Committee makes decision to admit members and informs the Association Executive Committee at the next meeting session;

c) After receiving the decision of member admission from the Association Standing Committee, members pay membership fees in accordance with the provisions and are granted membership cards.

2. Procedures for leaving the Association:

a) Members who find themselves unable to continue their memberships of the Association shall submit an application to the Standing Committee of the Association. The Association Standing Committee considers and makes decision to terminate membership and to notify the Executive Committee, members of the Association;

b) For members violate the provisions of the Vietnam law, leading to criminal prosecution, deprivation of citizenship under the law; organizations stop working, operation suspense, be dissolved or declared bankrupt according to the law, the Association's Standing Committee shall consider and terminate their memberships and inform the Executive Committee, members of the Association;

c) For individual members dying, the Association Standing Committee will decide to terminate their memberships and inform the Executive Committee, members of the Association.

Chapter IV ORGANIZATION AND OPERATION

Article 12. Organizational structure of the Association

1. General Meeting.

2. Executive Committee.

3. Standing Committee.

4. Examination Committee

5. Office, the professional committees.

6. Association's organizations established under the provisions of law and the Charter of the Association.

Article 13. General Meeting

1. The highest leading body of the Association is the General Meeting (or Term General Meeting and Extraordinary General Meeting). Term General Meeting is held every 05 (five) years, convened by the Executive Committee.

Extraordinary General Meeting is convened when at least 2/3 (two thirds) of the members of the Executive Committee or at least 1/2 (a half) of the total official members propose in writing.

2.  Term General Meeting and Extraordinary General Meeting shall be held in the form of the General Meeting of Representatives, the number, composition of delegates will be decided by the Executive Committee. The General Meeting of Representatives can be considered valid if more than 1/2 (a half) of the official members or more than1/2 (a half) of the delegates who are convened attend.

3. Missions of the Meeting

a) Discuss and adopt the Term Summary report, the direction, the new term mission of the Association;

b) Discuss and adopt the Charter (amended and supplemented), rename, splitting, merger, consolidation or dissolution of the Association (if any);

 c) Discuss and comment on the review report of the Executive Committee and financial statements of the Association;

d) Elect the Association Executive Committee and Examination Committee;

e) Make decisions on other contents beyond the authority of the Executive Committee in accordance with the Association's regulations;      

e) Adopt the resolution of the General Meeting.

4. Voting principles of the General Meeting:

a) The Meeting can vote by show of hands or secret ballot. The form of voting is decided by the General Meeting.

b) The decision of the General Meeting must be approved by more than 1/2 (a half) of the delegates present at the General Meeting.

Article 14. Executive Committee

1. Association Executive Committee is the highest leading body of the Association, elected by the General Meeting out of the official members in accordance with the laws and the Association's provisions. The number, structure and standards of the Executive Committee's members are decided by the General Meeting. The tenure of the Executive Committee is similar to the term of General Meeting.

2. Duties of the Executive Committee:

a) Implement the resolutions of the General Meeting, the Association Charter, leaders of all activities of the Association between two terms of General Meeting;

b) Prepare the agenda and decide to convene a General Meeting;

c) Make decision on annual program, work plans of the Association;

d) Make decision on the organizational apparatus of the Association, issue the Regulation on operation of the Executive Committee, Standing Committee; the regulations on management and use of financial assets of the Association; regulations on management and use of the seal of the Association in accordance with the law; regulations on rewards and disciplines; and regulations within the Association in accordance with the provisions of law and the Association Charter.

e) Elect and dismiss Chairman and Vice Chairman, Standing Committee members, elect new Executive Committee's members, the number of newly elected members of the Executive Committee does not exceed 1/3 (one third) of the Executive Committee's members approved by the General Meeting.

3. The operation principles of the Executive Committee:

a) The Executive Committee operates under the regulations of the Association's Executive Committee, complying with the law and the Association Charter;

b) The Executive Committee meets twice a year, and it may hold extraordinary meeting at the request of the Standing Committee or proposal of more than 1/2 (a half) of the members of the Executive Committee;

c) The Executive Committee meetings are valid when there is a presence of 2/3 (two thirds) of the Executive Committee's members. The Executive Committee may vote by show of hands or secret ballot. The voting form is decided by the Executive Committee;

e) The resolutions and decisions of the Executive Committee shall be adopted if approved by at least 2/3 (two thirds) of the Executive Committee's attending members.

Article 15. Standing Committee

1. The Association Standing Committee manages the operation of the Association between two meetings of the Association's Executive Committee. It is elected by the Association's Executive Committee among the its members. The Association Standing Committee includes: Chairman, Vice Chairman and members. Number, structure and standards of the Association Standing Committee's members are decided by the Association Executive Committee. The term of the Association Standing Committee is the same as General Meeting's term.

2.  Duties and powers of the Standing Committee:   

a) Assist the Executive Committee to implement the General Meeting's resolutions, Association Charter; implement resolutions and decisions of the Executive Committee; manage the activities of the Association between two Executive Committee's meetings;

b) Prepare the content and decision to convene the Executive Committee's meetings;

c) Make decision to establish subordinate organizations and units  of the Association under the resolution of the Executive Committee; define functions, duties, powers, organizational structure; appoint and dismiss the leaders of subordinate organizations and units of the Association in accordance with the law and the Association Charter;

d) Admit, consider for members to leave the Association; members' reward and disciplines.

3. The operating principles of the Standing Committee:

a) Standing Committee operates under the regulations promulgated by the Executive Committee, complying with the law and the Association Charter;

b) The Standing Committee meets twice a year, and it may hold extraordinary meeting at the request of the Chairman of the Association or the 2/3 (two thirds) of the members of the Standing Committee with a written opinion;

c) The meeting of the Standing Committee is valid when 2/3 (two thirds) of the Standing Committee members participating in the meeting. Standing Committee may vote by show of hands or informal ballot, the voting form prescribed by the Standing Committee decision;

d) The resolutions and decisions of the Standing Committee be adopted if at least 2/3 (two thirds) of the members of the Standing Committee voting session.

Article 16. You check the Association

]. Examination Board Association include: Chairman, Vice Chairman and some members elected by the General Assembly. Quantity, structure, standards Check commissioners decided by Congress. The term of office for you to check with Congress.

2. Duties and powers of the Board of Inspection:

a) examine and monitor the implementation of the Charter of Association, Assembly resolutions, resolutions and decisions of the Executive Committee, Standing Committee, the Association's rules of operation of the organization or unit under the Association members;

b) To consider and decide the application, petition, complaint or denunciation of organizations, citizens and sent to Association members.

3. Examination Board operates under regulations issued by the Examination Board, after consulting the Executive Committee on the basis of compliance with the provisions of law and the Charter of the Association.

Article 17. Chairman, Vice-Chairmen of the Association

1. Chairman of the Association is appointed by the Executive Committee among the Association Executive Committee 's members according to the consensus principle - approval of 2/3 (two thirds) of the Association Executive Committee's members  attending the meeting in accordance with the law and the Association Charter. The standards of the Association Chairman are defined by the Association Executive Committee.

2 . Association Chairman is the legal representative of the Association before the law, bearing responsibility before the law for all activities of the Association.

3. Duties and powers of the Association Chairman:

a) Perform duties and powers in accordance with the operation regulations of the Executive Committee, the Standing Committee of the Association;

b) Bear full responsibility before the competent authority for the establishment of the Association, before the State management agency for the main operation field of the Association, before the Executive Board and Standing Committee for all Association's activities; guide and administer all activities of the Association in accordance with the law, Association Charter, resolutions and decisions of the Association Executive Committee and Standing Committee;

c) Preside over meetings of the Executive Committee; guide the preparation, convene and preside the meetings ofthe  Standing Committee;

d) On behalf of the Executive Committee and the Standing Committee to sign documents of the Association;

e) When the Association Chairman is absent, guide and manage the work of

the Association authorized in writing to a vice chairman of the Association.

3. Vice Chairman of the Association is elected by the Executive Committee among the members of the Association's Executive Committee. Standards for Association's Vice Chairman are defined by the Association's Executive Committee.

Vice Chairman assists the Association's Chairman to direct and manage the Association's tasks under the assignment of the Association Chairman; bear responsibility before Association Chairman and law for the work assigned or authorized by the Chairman. Association's Vice Chairman performs his duties and powers under the Operation Regulation of the Association 's Executive Committee and Standing Committee.

Article 18. Office, representative offices and professional committees of the Association

1. Association 's office and professional committees assis the Executive Committee, the Standing Committee of the Association; shall be organized and operate according to regulations issued by the Association Standing Committee in accordance with the provisions of law, Association Charter, working regulations of the Executive Committee, the Standing Committee of the Association.

2. Representative Offices are subordinate units of the Association, assisting the Association, established at localities in accordance with the law and Association Charter.

3. Staff of the Office, Representative Offices, professional committees of the Association are recruited, managed under the provisions of the Labor Code, the provisions of the Association Charter and other legal provisions related.

4. The operational cost of the Office, representative offices and professional committees of the Association is estimated by the Association's General Secretary and approved by the Standing Committee.

Article 19. General Secretary, Deputy General Secretary of the Association

1. General Secretary of the Association:

a) The Association General Secretary shall assist the Chairman in daily work of the Association in accordance with resolutions, program, working plan and the Association's regulations adopted by the General Meeting, the Executive Committee and the Standing Committee.

b) General Secretary is appointed and dismissed by the Association Executive Committee and may be a specialized and responsible cadre or work concurrently.

c) The General Secretary operate directly all activities of the Association's Office and have the following responsibilities:

- Develop the operating regulations of the Association Office, Financial Asset Management Regulation of the Association to submit the Standing Committee for approval and report to the Association's Executive Committee;

- Periodically report to the Executive Committee, the Standing Committee on the Association's activities in accordance with the Association Charter, working regulations of the Executive Committee and the Standing Committee.

- Prepare annual reports, term reports of the Association's Executive Committee;

- Manage the documents of the Association in accordance with the Association Charter, working regulations of the Executive Committee, the Standing Committee and the Office;

- To be Secretary of the General Meetings, the meetings of the Executive Committee, the Standing Committee;

- To be responsible before the Executive Committee, Standing Committee of the Association and the law for the activities of the Association's Office.

2. Deputy General Secretary of the Association:

a) Deputy General Secretary of the Association is nominated by the General Secretary, and approved in writing by the Standing Committee and the Chairman of the Association.

b) Assist the Association's General Secretary, perform the work assigned by the General Secretary and represent the General Secretary when General Secretary is absent or be authorized in accordance with the regulations of the Association Office.

 

 

Chapter V

DIVISION, SEPARATION; MERGER;

CONSOLIDATION, RENAMING AND DISSOLUTION

Article 20. Division, separation, merger, consolidation, dissolution and renaming of the Association

The division, separation, merger, consolidation, dissolution renaming of the Association comply with the provisions of the Civil Code, the provisions of the law, General Meeting's resolutions and other relevant legal provisions.

Chapter VI

FINANCE AND ASSETS

Article 21. Finance and assets of the Association

1. Association Finance

a) The Association revenue:

- The fee to join the Association, annual dues of members;

- Income from the Association's operation in accordance with the law;

- Funding of domestic and foreign organizations and individuals in accordance with the law;

- Other legal incomes.

b) The expenses of the Association:

- Expenses for performing the tasks of the Association;

- Rent of office, purchasing of working facilities;

- Expenses for regimes and policies for the staff of the Association prescribed by the Association's Executive Committee in accordance with the provisions of law;

- Rewards and other expenses under the provisions of the Executive Committee.

2. Assets of the Association include: Headquarters, equipment and facilities for the operation of the Association, assets of the Association are formed from the Association's budget, or donated by domestic and foreign organizations, individuals in accordance with the law.

Article 22. Management and use of financial assets of the Association

1. Finance and assets of the Association are used only for the operation of the Association.

2. Finance and property of the Association, in case of  division, separation, merger, consolidation or dissolution of the Association, shall be settled according to the provisions of law.

3. Association Executive Committee issued Ouy management, use of financial assets of the Association to ensure the principle of openness, transparency, save in accordance with the law and the principles and purposes of activities Association.

Chapter VII

REWARD AND DISCIPLINE

Article 23. Reward

1. Organizations and units, and members of the Association who have made outstanding achievements are rewarded by the Association or proposed by the Association to competent agencies and authorities for reward in accordance with the law.

2. The Executive Committee of the Association shall specify the form, powers and procedures of reward within the Association under the provisions of law and the Association Charter.

Article 24. Discipline:

1. Organizations, units and members of the Association, who violate the law, Association Charter, rules and regulations of the Association shall be considered, subject to disciplinary action in the form of: Reprimand, warning or expulsion.

2. Executive Committee of the Association shall specify the disciplinary procedures and authority within the Association in accordance with the law and the Charter of the Association.

Chapter VIII

IMPLEMENTENT PROVISIONS

Article 25. Amendment and supplementation of the Association Charter

Only the General Meeting of the Vietnam Leather - Footwear - Handbag Association has the right to modify or supplement this Charter. These amendments and supplements to the Charter of the Association must be approved by at least 2/3 (two thirds) of the delegates presenting at the General Meeting.

Article 26. Implementation effect

1. The Charter of the Vietnam Leather - Footwear - Handbags Association consists of 8 (eight) Chapters, 26 (twenty six) Articles which have been approved by the General Meeting term VI (2012-2017) of the Vietnam Leather - Footwear - Handbags Association

on July 19, 2012 in Ho Chi Minh City and takes effect on approval of the Minister of Home Affairs.

2. Pursuant to the provisions of the law on the Association and the Charter of the Association, the Executive Committee of the Vietnam Leather- Footwear - Handbag Association has the responsibility to guide and organize the implementation of this Charter. /.
